General
This Agreement is entered into between you and StockRing.com. This Agreement sets forth your rights and responsibilities with respect to your access and use of the StockRing Service web site (the "Site"). PLEASE READ THIS AGREEMENT CAREFULLY BEFORE SUBSCRIBING TO STOCKRING Service. You may print and keep a copy of this Agreement for your records.

You represent that you are at least 18 years old. If you are not 18 years old, you may not access or use the Site.

The material provided on the Site is for general informational purposes only. No information on the Site is intended as investment, tax, accounting or legal advice, as an offer or solicitation of an offer to sell or buy securities, or as an endorsement, recommendation or sponsorship of any company, security or fund. The information on the Site should not be relied upon for purposes of buying, selling or holding securities or other investments. StockRing does not assess or guarantee the suitability or profitability of any particular investment or mix of investments, or the potential value of any investment or informational source. Before making any investment, you should consultant with a qualified financial advisor to assist you in developing a personalized financial plan that takes into account your individual needs and circumstances.

Stock and fund quotes reported through the Site may be delayed. Before purchasing or selling securities or other investments you should consult with a qualified broker or other qualified financial advisor to verify pricing information.

Registration Process
You agree to (i) provide accurate, current and complete information about yourself as prompted by the StockRing Service registration process, and (ii) to maintain and update your information to keep it accurate, current and complete. You may update your registration information through the "My Settings" page which is conveniently linked from StockRing homepage once the client is logged in.

As part of the registration process, you must choose a username and password. StockRing may refuse to grant you a user name that impersonates someone else, is protected by trademark or other proprietary right law, or is vulgar or otherwise offensive, as determined by StockRing in its sole discretion. This agreement is personal to you and you agree not to assign, transfer or resell your subscription to the Site or otherwise provide access to the Site to any third party. You are solely responsible for maintaining the confidentiality of your username and password and for any and all activities (including purchases) that are conducted through your account.

Fees and Renewals
Current subscription rates and charges for StockRing Service are available on the subscription page of the site. Payment of the applicable subscription fee is due in advance of the subscription period you select. Subscription fees will be billed automatically at the beginning of your subscription period to the credit card account designated by you during the registration process (or subsequently changed). If you are participating in a free trial period, the applicable subscription fee will be billed automatically to your credit card, unless you cancel your subscription before the end of the free trial period. ALL FEES AND CHARGES ARE NONREFUNDABLE.

Your subscription will continue and will renew automatically unless terminated by StockRing in accordance with this agreement or unless you cancel your subscription before the relevant renewal period begins. THE APPROPRIATE MONTHLY, ANNUAL OR OTHER PERIODIC FEE FOR YOUR SUBSCRIPTION WILL BE BILLED AUTOMATICALLY AT THE BEGINNING OF EACH RENEWAL PERIOD TO THE CREDIT CARD ACCOUNT DESIGNATED BY YOU DURING THE REGISTRATION PROCESS (OR SUBSEQUENTLY CHANGED) UNLESS YOU CANCEL YOUR SUBSCRIPTION BEFORE THE RELEVANT RENEWAL PERIOD BEGINS. For your convenience, StockRing will update the expiration date of your credit card if such date has passed in order to continue your StockRing Service service uninterrupted, unless you notify us otherwise.

You agree to pay all fees and charges incurred in connection with your username and password (including applicable taxes) at the rates in effect when the charges were incurred. StockRing may change the fees or charges for use of the Site or any potion thereof. Any change to the fees or charges for use of the Site during your existing subscription period will become effective at the beginning of the first renewal period following notice of such change. YOU HEREBY AGREE TO ACCEPT NOTICES OF ANY CHANGE OF FEES OR CHARGES BY THE POSTING OF SUCH INFORMATION ON THE SITE OR BY EMAIL, AS DETERMINED BY STOCKRING IN ITS SOLE DISCRETION.

StockRing shall have the right to recover from you all reasonable expenses incurred in connection with collecting overdue amounts, including, but not limited to reasonable collection costs and attorney's fees.

StockRing may offer promotions and discounts relating to the StockRing Service service ("Promotions") from time to time. Promotions may not be combined and may not be re-used by the same individual.

Cancellations and Changes of Subscriptions
You may cancel your StockRing Service subscription through the "My Settings" page which is conveniently linked from StockRing homepage once the client is logged in. Your cancellation request will be effective at the end of your current subscription period. ALL FEES AND CHARGES ARE NONREFUNDABLE. You may also change your designated subscription plan during a subscription period through the "My Settings" page which is conveniently linked from StockRing homepage once the client is logged in. Changes to your subscription plan may result in additional fees being charged to you or extending your current subscription period. Refunds and reimbursements will not be granted.

StockRing may change the Site, including eliminating or discontinuing any content on or feature of the Site, at any time and in its sole discretion. StockRing may also terminate your access to and use of the Site or any portion thereof, immediately, in the event StockRing determines, in its sole discretion, that you have breached any of the terms and conditions of this Agreement or any applicable laws, rules or regulations. In addition, StockRing reserves the right, upon prior notice and subsequent reimbursement for any whole months remaining on current subscription periods, to terminate this Agreement and your access to the Site without cause.

Site Security
You may not violate or attempt to violate the security of the Site, including by, without limitation (a) accessing data not intended for you or logging into a server or account which you are not authorized to access, (b) attempting to probe, scan or test the vulnerability of a system or network or to breach security or authentication measures without proper authorization, (c) attempting to interfere with service to any user, host or network, including, without limitation, via means of submitting a virus to the Site, overloading, conducting "denial of service attacks", "flooding", "spamming", "mail bombing" or "crashing", (d) sending unsolicited e-mail, including promotions and/or advertising of products or services, (e) forging any TCP/IP packet header or any part of the header information in any e-mail or newsgroup posting, or (f) attempting to decipher, decompile, disassemble or reverse engineer any of the software comprising or in any way making up a part of the Site. Violations of system or network security may result in civil or criminal liability. StockRing will investigate occurrences which may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users who are involved in such violations.

Copyright, Trademarks and Limitations On Use
The content displayed on the Site is the exclusive property of StockRing or its licensors and is protected by United States and international copyright, trademark and other intellectual property laws. The Site and its content may only be used for your personal and noncommercial use. You agree not to reproduce, retransmit, distribute, display, disseminate, sell, publish, broadcast or circulate the content received through the Site to anyone without the express prior written consent of StockRing. The StockRing name, tradenames, trademarks and logo, and all related product and service names, design marks and slogans (collectively, the "StockRing Marks") are the trademarks, service marks or registered trademarks of StockRing or its affiliates. The StockRing Marks may not be used in any commercial manner without the prior written consent of StockRing.

All other products and service marks contained on the site are the trademarks of their respective owners. Reference to any products, services, processes, hypertext links to third parties or other information by trade name, trademark, manufacturer, supplier or otherwise does not necessarily constitute or imply the endorsement, sponsorship or recommendation by StockRing. Product and service information are the sole responsibility of each individual vendor.

Digital Millennium Copyright Act ("DMCA") Notice
StockRing owns, protects and enforces copyrights in its own creative material and respects the copyright properties of others. Materials may be made available on the Site, or via the Site, by third parties not within the control of StockRing. It is our policy not to permit materials known by us to be infringing to remain on this site. You should notify us promptly if you believe any materials on the Site infringe a third party copyright. Upon our receipt of a proper notice of claimed infringement under the DCMA, StockRing will respond expeditiously to remove, or disable access to, the material claimed to be infringing and will follow the procedures specified in the DMCA to resolve the claim between the notifying party and the alleged infringer who provided the content in issue.

It is the policy of StockRing to terminate its contractual relationships regarding content with third parties who repeatedly infringe the copyrights of others.

Links to Other Web Sites
The Site may contain links to other Internet Web sites. Such links are provided for your reference and convenience only. StockRing has not reviewed or approved the content that appears on such other web sites. You agree not to hold StockRing responsible for the content or operation of any third party web sites, nor for any loss or damages caused or alleged to have been caused by content or operation of any third party web sites.

Disclaimer of Warranties and Limitation of Liability
THE SITE, THE CONTENT ON THE SITE OR AVAILABLE THROUGH THE SITE, AND ANY PRODUCT OR SERVICE OBTAINED OR ACCESSED THROUGH THE SITE ARE PROVIDED "AS IS" AND WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE LAW, STOCKRING.COM AND THEIR RESPECTIVE AFFILIATES AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF ACCURACY, COMPLETENESS, TIMELINESS, NONINFRINGEMENT, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. STOCKRING.COM AND THEIR RESPECTIVE AFFILIATES AND AGENTS DO NOT WARRANT THAT YOUR USE OF THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SITE OR THE SERVERS ON WHICH THE SITE IS HOSTED ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SITE AND YOUR RELIANCE THEREON.

NONE OF STOCKRING.COM NOR THEIR RESPECTIVE AFFILIATES AND AGENTS SHALL BE LIABLE FOR LOSS PROFITS OR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE OR OTHER DAMAGES OTHER THAN DIRECT DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, UNDER ANY CONTRACT, NEGLIGENCE, STRICT LIABILITY OR OTHER THEORY ARISING OUT OF OR RELATING IN ANY WAY TO THE SITE AND/OR THE CONTENT CONTAINED ON THE SITE OR AVAILABLE THROUGH THE SITE, OR ANY PRODUCT OR SERVICE PURCHASED OR ACCESSED THROUGH THE SITE.

NOTWITHSTANDING ANY OTHER TERM OR PROVISION OF THIS AGREEMENT, STOCKRING'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER, WHETHER ARISING UNDER THIS AGREEMENT OR OTHERWISE, SHALL BE LIMITED TO THE AMOUNT PAID BY YOU TO STOCKRING OF THE APPLICABLE SUBSCRIPTION FEE WITHIN THE ONE YEAR PRECEDING THE EVENT (OR LAST IN A SERIES OF EVENTS) WHICH GAVE RISE TO THE CLAIM. ALL CLAIMS FOR DAMAGES MUST BE ASSERTED WITHIN ONE YEAR OF THE EVENT (OR LAST IN A SERIES OF EVENTS) TO WHICH THEY RELATE OR BE FOREVER BARRED.

Because some states or jurisdictions do not allow the exclusion or limitation of liability for damages or the exclusion of certain types of warranties, parts or all of the above limitation may not apply to you.

Indemnification
You agree to indemnify and hold StockRing, its parents, subsidiaries, affiliates, officers and employees, harmless from any claim or demand, including reasonable attorneys' fees, due to your violation of the terms and conditions of this Agreement or your infringement of any intellectual property or other right of any person or entity.

Governing Law, Notice and Other Terms
THIS AGREEMENT SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE SUBSTANTIVE LAWS OF THE STATE OF CALIFORNIA WITHOUT GIVING EFFECT TO ITS CHOICE OF LAW RULES AND YOU AGREE THAT JURISDICTION AND VENUE OF ALL MATTERS RELATING TO THIS AGREEMENT SHALL BE VESTED EXCLUSIVELY IN THE FEDERAL OR STATE COURTS LOCATED WITHIN THE STATE OF CALIFORNIA AND COUNTY OF ORANGE. If any of the provisions of this Agreement shall for any reason be adjudged unenforceable, such judgment shall not impair, affect or invalidate the remainder of this Agreement, but shall be confined in its operation to the provision(s) of this Agreement directly involved in the controversy in which such judgment shall have been rendered. The Site is solely directed to individuals residing in the United States. StockRing makes no representation that materials in the Site are appropriate or available for use in other locations. Those who choose to access the Sites from other locations do so at their own risk, and are responsible for compliance with all applicable local laws. If you are outside the United States, you understand and agree that should you provide StockRing any information about yourself, you are consenting to the transfer of that information to the United States.
